The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 14, 2024.

Number of shares:  39,999,999 shares

Purchase price:  15 cents per share

Warrants:  19,999,993 share purchase warrants to purchase 19,999,993 shares

Warrant exercise price:  25 cents for a three-year period

Number of placees:  82 placees

Total pro group involvement:  7,232,500 (13 pro groups)

Finder's fee:  $290,490.90 cash and 1,949,953 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 15 cents for period of three years from the date of issuance.

The company issued news releases on March 15, 2024, and March 22, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
